Project overview

Background

To strengthen its product offering and extend into hybrid cloud deployments, Link11 aimed to acquire Reblaze Technologies Ltd., a leading provider of comprehensive web security solutions based in Herzliya, Israel.

Our scope

In preparation for the acquisition, Link11 required buy-side technical and cyber due diligence on Reblaze Technologies Ltd. and a post-merger integration (PMI) plan.

Our approach

Our scope of technical assessment covered four areas to support Link11’s acquisition of Reblaze:

1) Tech Due Diligence

  • Assessment of the software architecture and tech stack

  • Evaluation of the hosting architecture its external dependencies, scalability, and reliability

  • Analysis of tech team and organization structure

  • Analysis of SDLC development processes, tools, and levels of documentation

  • Evaluation of IT security posture

2) Feasibility of technical migration

  • Impact analysis of different versions of architecture that were deployed into production

  • Evaluation of effort to re-architect cloud-native components to enable a migration to private cloud

  • Assessment of customer expectations regarding deployment options e.g. SaaS, Hybrid, to identify risks with platform migration

3) Cost assessment

  • Assessment of main cost drivers

  • Analysis of tech team salary, including a scenario analysis of cost savings through deploying team capabilities across Germany and Israel

  • Validation of cost savings hypothesis within infrastructure by moving from more expensive cloud-native services to private cloud

4) 100-Day Action Plan during PMI

  • Identification and evaluation of potential synergies (including technology, resources, and expertise)

  • Assessment, migration plan, and cost estimates to migrate Reblaze systems to Link11 on-premise hosting

  • Creation of a high-level roadmap of initiatives in the initial 100 days and beyond

KEY OBJECTIVES

  • Assessment of technical architecture, software development lifecycle, team set-up, cyber security, and IT costs

  • Feasibility assessment of the technical migration of Reblaze software applications onto Link11 private cloud

  • Cost reduction analysis through replacement of expensive cloud services and rationalization of tech resources

  • Action roadmap for the first 100 days post-acquisition

Link11 was extremely pleased with the comprehensive technical analysis provided by OMMAX, which facilitated the successful acquisition of Reblaze. The work of the Tech and Cyber Security Due Diligence team provided an extensive overview of the current and future technical capabilities of the company’s software as well as various post-merger integration options.
